# FinCobra Checkout Terms of Use

Effective date: April 20, 2026

These Terms govern your access to and use of FinCobra Checkout. FinCobra Checkout is a hosted software and infrastructure service that helps merchants configure payment methods, generate invoices, present hosted payment pages, observe payment status, and receive related webhook or API events.

By using FinCobra Checkout, you agree to use the service only for lawful business purposes and in a manner consistent with these Terms. If you use the service on behalf of a company or other organization, you represent that you are authorized to bind that entity to these Terms.

### Scope of service

FinCobra provides software tooling and technical infrastructure. This includes checkout configuration, invoice creation, payment-page presentation, payment-status monitoring, operational notifications, and related integration features. FinCobra does not become a party to the underlying sale between you and your customer.

FinCobra does not act as your bank, custodian, escrow agent, broker, exchange, investment adviser, fiduciary, or tax adviser. You remain responsible for the goods, services, representations, refunds, delivery obligations, and customer relationships connected to the invoices you issue through the service.

### Non-custodial design

FinCobra Checkout is designed to operate on a non-custodial basis. In the ordinary operation of the software, FinCobra does not take possession of your private keys and does not have unilateral control over your funds through the checkout product.

You remain solely responsible for generating, maintaining, securing, backing up, and using your wallets, seed phrases, private keys, signing devices, and destination addresses. Any compromise, misuse, loss, corruption, or unavailability of your wallet infrastructure, private keys, seed phrases, signing access, or funds remains your responsibility.

### Merchant responsibilities

You are responsible for the accuracy of your checkout configuration and invoice data, including payment-method setup, webhook endpoints, redirect destinations, customer-facing invoice details, and any internal references you attach to invoices.

- Keep your account credentials, API credentials, webhook secrets, and devices secure.

- Verify that your configured wallet data, receiving addresses, and settlement destinations are correct before using them in production.

- Review invoice status, payment events, and exception states before delivering goods or services where that review is commercially necessary.

### Acceptable use and access

You may not use FinCobra Checkout for unlawful activity, fraud, sanctions evasion, infringement, abuse of the service, or any activity that could create security, legal, or operational risk for FinCobra, other merchants, or payers.

FinCobra may suspend or restrict access where reasonably necessary to investigate misuse, address security issues, respond to legal requirements, or protect the integrity of the service.

### Compliance and taxes

You are solely responsible for determining whether your use of FinCobra Checkout is lawful in each jurisdiction relevant to you, your business, and your customers. This includes compliance with consumer protection, sanctions, anti-money laundering, licensing, reporting, invoicing, export, data-protection, and other laws or regulations that may apply.

You are also solely responsible for assessing, reporting, and filing any taxes, duties, levies, withholding obligations, or related disclosures arising from your business activities, digital-asset transactions, or receipt of funds in your country of residence and any other jurisdiction that may apply to you.

### Availability and liability

We aim to provide a reliable service, but availability can be affected by software defects, third-party infrastructure, blockchain network conditions, wallet behavior, node data, reorgs, delayed confirmations, webhook delivery failures, or other events outside our reasonable control. Features may change over time as the product evolves.

To the maximum extent permitted by law, FinCobra Checkout is provided on an "as is" and "as available" basis. FinCobra is not responsible for indirect, incidental, special, consequential, or exemplary losses, including lost profits, lost revenue, lost business, lost data, or loss of digital assets, except to the extent such limitation is not permitted by applicable law.

### Changes to these Terms

FinCobra may update these Terms from time to time. The latest version will be posted on this page with the effective date shown above. Continued use of FinCobra Checkout after an updated version becomes effective means you accept the revised Terms.

### Custom commercial terms

Separate or additional terms may be negotiated on a case-by-case basis for paid customers only. Unless FinCobra expressly agrees otherwise in writing, these Terms apply to your use of the service.
